Jones Day partners Lizanne Thomas and Kelly Turner served as Contributing Editors for the 2019 edition of The In-House Lawyer’s Comparative Guide on Corporate Governance. Published by Legalese and The Legal 500, the aim of this guide is to provide its readers with a pragmatic overview of the laws and regulations of corporate governance practice across a variety of jurisdictions.
In addition the editorial roles of Mses. Thomas and Turner, multiple Jones Day lawyers from around the world contributed to four different jurisdictional chapters, including Germany, Hong Kong, UK, and USA. These sections represent four of the 17 chapters on governance published in the Guide. Each country chapter is written by a firm ranked by The Legal 500 in a Q&A format.
Ms. Thomas is the head of the Jones Day's Corporate Governance Team. With roots as an M&A lawyer, she participates in about 100 board meetings per year as counsel to a number of public companies. Ms. Thomas represents special committees in control and conflict transactions, as well as in internal investigations. She is experienced in shareholder activism, public and private mergers and acquisitions, takeover preparedness, and executive compensation. Ms. Thomas lectures on governance to leading business organizations, companies, and universities.
Ms. Turner is a partner in Jones Day’s Banking, Finance & Securities Practice. For more than a decade, she has advised clients in complex capital markets transactions as well as day-to-day disclosure obligations and corporate governance matters. Ms. Turner regularly advises public companies and other organizations on SEC reporting requirements, corporate governance matters, and stock exchange rules and regulations.
